TERMS OF SERVICE FOR ENDORSINGS LTD

By accessing or using Endorsings (endorsings.com), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Platform.

These Terms constitute a legally binding agreement between you and:

Definitions:

• "Platform" means the Endorsings website, mobile applications, and all related services
• "We," "us," "our" means Endorsings Ltd
• "You," "your" means the user of our Platform
• "Services" means all features, content, and functionality provided by Endorsings
• "Learner" means a user who subscribes to learn from professionals
• "Professional" means a verified user who creates content and issues endorsements
• "Endorsement" means a formal certification issued by a Professional to a Learner

2.1 Age Requirement

You must be at least 16 years old to use our Platform. If you are below 16, you must have parental consent.

2.2 Accuracy of Information

You agree to provide accurate, current, and complete information during registration and to update it as necessary.

2.3 Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

We are not liable for losses caused by unauthorized use of your account.

Free Account:

• Browse profession pages
• View sample content
• Access community forums (read-only)

Paid Member Account (£25/month):

• Unlimited access to all learning content
• Participate in live Q&A sessions
• Download resources and materials
• Full community participation
• Apply for endorsements

Requirements:

• 3+ years of professional experience in your field
• Currently employed in the role you teach
• Approval by Endorsings (we review all applications)
• Agreement to our Professional Creator Agreement (separate document)

Responsibilities:

• Create accurate, helpful content
• Maintain professional standards
• Issue endorsements fairly and honestly
• Respond to learner questions in reasonable time

Learner Membership: £25/month (billed monthly)

Billing:

• Charged automatically on the same day each month
• Payment processed via Stripe
• Prices may change with 30 days' notice
• Taxes may apply based on your location

One-time fees (separate from membership):

• Distinguished Endorsement: £99-£499 (varies by profession)

These are non-refundable once the endorsement process begins (see Section 13 for details).

By providing payment information, you authorize us to charge your payment method for:

• Initial subscription fee
• Recurring monthly fees (until cancelled)
• Any endorsement fees you purchase

If payment fails:

• We will attempt to charge your card again
• Your account may be suspended after 7 days
• Account deleted after 30 days of non-payment
• You remain responsible for unpaid fees

See detailed Refund Policy (Section 13 below).

Summary:

• Subscriptions: Cancel anytime; no refunds for current billing period
• Endorsements: Non-refundable once assessment begins
• 3-day trial: Full refund if cancelled within 3 days of first subscription

Platform Ownership: The Platform, including design, code, branding, and proprietary features, is owned by Endorsings Ltd and protected by copyright, trademark, and other intellectual property laws.

You may not:

• Copy, modify, or distribute our Platform code or design
• Use our name, logo, or branding without written permission
• Reverse engineer any part of our Platform
• Create derivative works based on our Platform

Content uploaded by Professionals (videos, documents, materials) remains their intellectual property, but they grant us a license to:

• Display it on our Platform
• Distribute it to paying members
• Use it in marketing materials (with attribution)
• Store it on our servers

Content you post (comments, forum posts, profile information):

• You retain ownership
• You grant us a worldwide, non-exclusive license to display and distribute it
• You represent that you have the right to post it
• You agree we may remove content that violates these Terms

You may not post content that:

• Violates copyright, trademark, or other intellectual property rights
• Contains malware, viruses, or malicious code
• Is defamatory, harassing, or abusive
• Promotes illegal activities
• Contains adult content or explicit material
• Infringes on privacy rights of others
• Is spam or commercial solicitation

Endorsements are:

• Professional opinions from working practitioners
• Not guarantees of employment or career success
• Based on demonstrated competence in assessments
• Personal vouches from the endorsing professional

Professionals agree to:

• Only endorse learners who genuinely demonstrate competence
• Maintain fair, consistent assessment standards
• Not issue endorsements fraudulently or for personal gain
• Provide honest feedback to learners

Endorsements:

• Are valid indefinitely (no expiration)
• Can be verified by employers using the certificate number
• May be revoked if obtained fraudulently
• Are tied to the specific skills/competencies assessed

We do not guarantee:

• That endorsements will result in job offers
• That employers will recognize our endorsements
• Specific salary or career outcomes
• Admission to educational programs

Endorsements demonstrate competence only. Employment decisions are made by employers.

Professionals earn:

• 50% of subscription revenue based on content watch time
• 70% of endorsement fees they issue
• 70% of direct subscriber fees (when feature launches)

Payouts:

• Calculated monthly
• Paid by the 10th of the following month
• Via bank transfer (UK accounts) or PayPal (international)
• Minimum payout: £50 (earnings below this roll over)

Tax Responsibility:

• Professionals are independent contractors
• Responsible for their own tax reporting
• We provide annual earnings summaries
• We do not withhold taxes (UK contractors)

We may terminate Professional accounts if:

• Content quality is consistently poor (below 3.5/5 rating)
• Endorsements are issued fraudulently
• Professional violates these Terms
• Professional becomes inactive (no content for 6 months)

Final payout will be made within 30 days of termination.

You agree not to:

Account Abuse:

• Create multiple accounts to circumvent restrictions
• Share account credentials with others
• Impersonate another person or entity
• Purchase accounts or endorsements from third parties

Content Abuse:

• Download, reproduce, or distribute content without permission
• Use bots, scrapers, or automated tools to access content
• Record or screenshot video content for redistribution
• Bypass paywalls or access controls

Platform Abuse:

• Interfere with Platform security or functionality
• Transmit viruses, malware, or harmful code
• Attempt to gain unauthorized access to systems
• Engage in any activity that disrupts service for others

Commercial Abuse:

• Resell or redistribute content
• Use content for commercial purposes without permission
• Advertise or promote products without our consent
• Recruit users for competing services

Violation may result in immediate account termination without refund.

Employers may verify endorsements by:

• Entering the certificate number at endorsings.com/verify
• Viewing: Learner name, skills verified, endorsing professional details, date issued

Endorsement certificates contain public information:

• Learner's name
• Endorsing professional's name, title, company
• Skills/competencies verified
• Assessment completion date

By earning an endorsement, you consent to this information being publicly verifiable.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

We do not warrant:

• Uninterrupted or error-free operation
• Accuracy, completeness, or reliability of content
• Specific results or outcomes from using our Services
• That content is free from viruses or harmful components
• Compatibility with all devices or browsers

Educational Content:

• Content reflects opinions and experiences of individual Professionals
• We do not endorse or verify all claims made in content
• Professional credentials are verified at time of application only
• Content may become outdated over time

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

We are not liable for:

• Loss of profits, revenue, or business opportunities
• Loss of data or content
• Indirect, incidental, or consequential damages
• Damages arising from use or inability to use the Platform
• Actions or content of other users or Professionals
• Employment outcomes or career results
• Decisions made based on Platform content

Maximum Liability: Our total liability to you for any claims shall not exceed the amount you paid us in the 12 months prior to the claim, or £100, whichever is greater.

Exceptions: This limitation does not apply to:

• Fraud or fraudulent misrepresentation
• Any liability that cannot be excluded under UK law

You agree to indemnify and hold harmless Endorsings Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your violation of any law or regulation
• Content you post or upload
• Your use of the Platform
• Infringement of third-party rights
• Fraudulent endorsement applications or issuance

You may terminate your account at any time by:

• Cancelling your subscription in Account Settings
• Emailing: support@endorsings.com

Effect:

• Subscription ends at the end of current billing period
• Access to content ends when subscription expires
• Profile and content you created may be retained for legal purposes

We may suspend or terminate your account if:

• You violate these Terms
• Your payment fails repeatedly
• You engage in fraudulent activity
• We are required to do so by law
• We discontinue the Platform

Effect:

• Immediate loss of access to Platform
• No refund of fees already paid (unless required by law)
• Outstanding fees remain due

Upon termination:

• Your license to use the Platform ends immediately
• We may delete your data (after 30 days)
• Endorsements you've earned remain valid and verifiable
• Sections of these Terms that should survive (liability, indemnification) remain in effect

These Terms are governed by the laws of England and Wales.

Before filing a claim, you agree to:

• Contact us at support@endorsings.com
• Provide detailed description of the dispute
• Give us 30 days to resolve the issue informally

Any legal disputes shall be resolved in the courts of England and Wales.

If you are a consumer in the EU, you may have additional rights under EU consumer protection law.

You agree to resolve disputes individually, not as part of a class action or collective proceeding.

We may modify these Terms at any time.

Notice:

• Posted on this page with "Last Updated" date
• Email notification for significant changes (if you have an account)
• 30 days' notice for material changes affecting your rights

Continued use after changes = acceptance of new Terms.

If you do not agree to changes, you must stop using the Platform and cancel your account.

Your use of the Platform is also governed by our Privacy Policy, incorporated into these Terms by reference.

These Terms, along with our Privacy Policy and other referenced policies, constitute the entire agreement between you and Endorsings Ltd.

If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in effect.

Our failure to enforce any right or provision does not waive our right to enforce it later.

You may not assign or transfer these Terms. We may assign our rights to any successor or affiliate.

We are not liable for delays or failures caused by events beyond our reasonable control (natural disasters, wars, pandemics, internet outages, etc.).

Our Platform may integrate with third-party services (Stripe, Circle.so, etc.). Your use of those services is subject to their own terms and policies.

You may not use the Platform in violation of UK or international export laws.
